STOCKSPEAK TERMS AND CONDITIONS

1. Acceptance of Terms

Welcome to StockSpeak. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and 45 Degrees, Inc., a Wyoming corporation (“45 Degrees,” “we,” “our,” or “us”), governing your access to and use of the StockSpeak platform at stockspeak.com, including all associated websites, mobile applications, features, content, and services (collectively, the “Service”).

By creating an account, accessing, or using StockSpeak, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use StockSpeak. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration and Security

To access certain features of StockSpeak, you must create an account. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are inactive for an extended period.

5. Paid Advertising and Compensation Disclosure

StockSpeak generates revenue from companies (“Issuers”) that pay for landing pages, enhanced visibility, distribution services, and related features on the platform. This means:

• Paid Content: Company landing pages, featured listings, and promoted content on StockSpeak may be paid advertisements. Paid content will be identified with appropriate disclosure labels.
• Compensation Disclosure: Where 45 Degrees, Inc. or its affiliates receive compensation from an Issuer — whether in cash, securities, stock options, or other consideration — that compensation will be disclosed in accordance with applicable securities regulations, including SEC Rule 17(b).
• Ownership Disclosure: Where 45 Degrees, Inc., its principals, or affiliated influencers hold positions in securities discussed on StockSpeak, those positions will be disclosed.

The presence of a company landing page on StockSpeak does not constitute an endorsement of that company, its securities, or its business prospects by StockSpeak or 45 Degrees, Inc.

6. User Content and Conduct

6.1 User Content

You retain ownership of content you create and post on StockSpeak (“User Content”), including forum posts, comments, stock picks, and profile information. By posting User Content, you grant 45 Degrees, Inc. a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, distribute, display, and create derivative works of your User Content in connection with the Service, including for marketing and promotional purposes.

You represent and warrant that you own or have the necessary rights to post your User Content and that it does not infringe any third party’s rights.

6.2 Prohibited Conduct

You agree not to use StockSpeak to:

• Post false, misleading, or fraudulent information, including manipulative stock promotion (“pump and dump” schemes) or artificially inflated performance claims;
• Engage in market manipulation, insider trading, or any activity that violates applicable securities laws or regulations;
• Impersonate any person or entity, or falsely claim affiliation with any person or entity;
• Harass, threaten, defame, or intimidate other users;
• Post spam, unsolicited advertising, or promotional material not authorized by StockSpeak;
• Attempt to gain unauthorized access to accounts, systems, or data;
• Use automated tools (bots, scrapers, crawlers) to access or collect data from StockSpeak without our prior written consent;
• Circumvent, disable, or interfere with security features or usage restrictions;
• Upload viruses, malware, or other harmful code; or
• Use StockSpeak for any illegal purpose or in violation of any applicable law or regulation.

6.3 Content Moderation

We reserve the right, but are not obligated, to review, edit, or remove any User Content at our sole discretion, including content that violates these Terms or that we determine is harmful, misleading, or inappropriate. We may suspend or terminate accounts that repeatedly violate our content policies.

7. Influencer Program

7.1 Application and Verification

StockSpeak offers a verified influencer program. To apply, you must submit an application and pay a non-refundable application fee (currently $9.99 USD). Submission of an application does not guarantee acceptance. We reserve the right to accept or reject any application at our sole discretion.

7.2 Track Record Integrity

The verified influencer track record system is a core feature of StockSpeak. If you are accepted as a verified influencer, you acknowledge and agree that:

• Immutability: Stock picks you publish through StockSpeak are timestamped and become part of the permanent public record. You cannot retroactively edit, delete, or modify published picks.
• Performance Metrics: StockSpeak will calculate and publicly display performance metrics derived from your picks, including average peak gain, win rate, and return badges. These calculations are based on our published methodology and may differ from your personal portfolio returns.
• Average Peak Gain: The primary performance metric is “average peak gain,” which measures the average highest percentage gain achieved by your published picks from entry price. This metric measures stock-picking ability independently of exit timing.
• Public Profile: Your influencer profile, including all picks, metrics, badges, and linked social media content, is publicly visible to all StockSpeak users and may be indexed by search engines.

7.3 Content Syndication

If you opt in to content syndication (connecting your X/Twitter, Discord, or other social media accounts), you authorize StockSpeak to automatically import and display your publicly available stock-related posts on the platform. You may revoke this authorization at any time by disconnecting your accounts, but previously imported and timestamped content will remain as part of the public record.

8. Company and Issuer Terms

Companies and Issuers that purchase landing pages, distribution services, or other premium features on StockSpeak are subject to these Terms and any additional terms set forth in their service agreement with 45 Degrees, Inc. Key provisions include:

• Content Accuracy: Issuers are solely responsible for the accuracy and completeness of information provided for their landing pages. StockSpeak does not independently verify Issuer-provided content.
• No Endorsement: The availability of an Issuer landing page on StockSpeak does not constitute an endorsement by StockSpeak or 45 Degrees, Inc.
• Community Activity: Issuers acknowledge that community discussion, sentiment analysis, and user-generated content on ticker-specific pages is created by users and is not controlled or endorsed by StockSpeak.
• Analytics Access: Issuer clients receive access to aggregated analytics regarding traffic, engagement, and community activity on their landing pages, subject to user privacy protections described in our Privacy Policy.

9. Intellectual Property

• Our Property: StockSpeak, including its design, features, code, logos, trademarks and proprietary content, is owned by 45 Degrees, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any StockSpeak materials without our prior written consent.
• Third-Party Data: Market data, stock prices, financial metrics, and similar information displayed on StockSpeak are provided by third-party data providers and are subject to their respective terms of use and licensing restrictions. You may not redistribute, resell, or commercially exploit this data.
• Feedback: If you provide us with suggestions, ideas, or feedback about the Service, you grant us the right to use that feedback without restriction or compensation.

10. Fees and Payments

Certain features of StockSpeak require payment, including influencer application fees and premium company landing pages. All fees are stated in U.S. dollars unless otherwise indicated. Fees are non-refundable unless explicitly stated otherwise or required by applicable law.

We reserve the right to change our pricing at any time. Changes to pricing for subscription-based services will take effect at the start of the next billing cycle, and we will provide reasonable advance notice of any changes.

11. Disclaimers and Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO WARRANTY REGARDING THE ACCURACY, TIMELINESS, OR COMPLETENESS OF ANY MARKET DATA, STOCK PRICES, FINANCIAL METRICS, INFLUENCER PERFORMANCE DATA, SENTIMENT ANALYSIS, OR OTHER INFORMATION DISPLAYED ON STOCKSPEAK.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 45 DEGREES, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY INVESTMENT DECISIONS YOU MAKE BASED ON INFORMATION OBTAINED THROUGH THE SERVICE, ANY USER CONTENT OR THIRD-PARTY CONTENT ACCESSED THROUGH THE SERVICE, OR ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11.3 Investment Risk Acknowledgment

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF STOCKSPEAK AND ANY INVESTMENT DECISIONS YOU MAKE ARE AT YOUR SOLE RISK. 45 DEGREES, INC. IS NOT RESPONSIBLE FOR ANY FINANCIAL LOSSES YOU MAY INCUR AS A RESULT OF ACTING ON INFORMATION OBTAINED THROUGH THE SERVICE.

12. Indemnification

You agree to indemnify, defend, and hold harmless 45 Degrees, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or access to the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third party’s rights.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.

13.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Cheyenne, Wyoming (or remotely, at the arbitrator’s discretion). The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

14. Termination

We may suspend or terminate your access to StockSpeak at any time, with or without cause, with or without notice, at our sole discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including but not limited to Sections 4 (Not Investment Advice), 6.1 (User Content license), 9 (Intellectual Property), 11 (Disclaimers and Limitation of Liability), 12 (Indemnification), and 13 (Dispute Resolution).

Certain content on StockSpeak, including company landing pages and Issuer-provided materials, may contain forward-looking statements within the meaning of applicable securities legislation. These statements involve known and unknown risks, uncertainties, and other factors that may cause actual results to differ materially from those expressed or implied. Forward-looking statements are identified by words such as “expects,” “anticipates,” “intends,” “plans,” “believes,” “estimates,” and similar expressions. StockSpeak assumes no obligation to update forward-looking statements.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and 45 Degrees, Inc. regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Notices: We may provide notices to you via email, in-app notifications, or by posting on StockSpeak. Notices to us should be sent to the contact information in Section 17.
• Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control.
